Dangote Petroleum Refinery and Petrochemicals FZE has signed the documents for a landmark initial public offering that could raise approximately ₦2.15 trillion, or about $1.6 billion, in what is set to become Africa’s largest-ever IPO. The company plans to offer 4.1 billion ordinary shares at ₦525 each, opening one of the continent’s most valuable privately developed industrial assets to public investors.

The fundraising will help finance an ambitious expansion of the Lagos refinery toward 1.4 million barrels per day, while also dramatically broadening its ownership beyond Aliko Dangote and existing institutional investors.

Africa’s Largest-Ever IPO Moves Toward Launch

Aliko Dangote and the refinery’s financial advisers have signed the offering documents required for the planned listing, clearing another major hurdle before investors begin subscribing.

The offer comprises 4.1 billion ordinary shares at ₦525 per share, potentially generating approximately ₦2.15 trillion if fully taken up. Nigeria’s securities regulator had already approved the proposed share offering and registered 120.13 billion existing ordinary shares ahead of the transaction.

The offer is expected to open on September 14 and close on October 13, with trading potentially beginning on the Nigerian Exchange in late November. At the offer price, different calculations place the company’s implied equity valuation at approximately $47 billion to $49 billion, making it one of Africa’s most valuable listed businesses if the transaction is completed as planned.

The transaction is being led by advisers including Vetiva Advisory Services, Stanbic IBTC Capital and FirstCap, which were appointed to structure and execute the offering.

Dangote Targets Millions of Retail Investors

A defining feature of the transaction is its emphasis on retail participation. The minimum subscription has been set at 10 shares, requiring an initial investment of just ₦5,250.

Dangote has characterised the transaction as an “IPO for the people,” arguing that ownership should extend beyond large institutions and wealthy investors to ordinary workers and households.

The offer reportedly aims to attract as many as 10 million retail investors, potentially creating one of the broadest shareholder bases for a major African industrial company. Eligible investors who retain their holdings may also qualify for bonus shares under provisions associated with the offer.

The strategy represents a significant shift for a refinery historically controlled within Dangote’s industrial empire, placing public ownership at the centre of its next phase of expansion.

$2.5 Billion Private Placement Sets the Stage

The IPO follows a major private capital raise completed earlier in 2026. Dangote Refinery raised approximately $2.5 billion through a private equity placement that brought external investors into the company’s ownership structure for the first time.

Investor demand was strong, with the transaction receiving subscriptions equivalent to approximately 3.7 times the original offer size. Participants included institutional investors, development finance institutions and sovereign-linked investors, with Africa Finance Corporation among the organisations involved.

The company also subsequently secured a $400 million IPO underwriting commitment within a broader $1 billion financing programme, providing additional support ahead of the public offer.

The private placement demonstrated significant institutional appetite for the refinery before the company approached public-market investors.

IPO Funds Massive Refinery Expansion

The capital raise forms part of an even larger investment programme. Dangote intends to expand refining capacity from its current operating level of around 700,000 barrels per day toward 1.4 million barrels per day.

The latest expansion programme has been estimated at roughly $14.3 billion, with completion targeted around the end of the decade. Earlier company announcements have referenced 2028, while more recent reporting has indicated that full expansion could extend into 2029.

The existing complex cost approximately $20 billion to develop and began producing refined products commercially in 2024. It has since substantially altered Nigeria’s petroleum market by reducing the country’s dependence on imported refined fuel while creating new export capacity.

The refinery has also expanded sales abroad, shipping products including diesel and aviation fuel to African and European markets. Nigeria’s seaborne petroleum-product imports fell sharply as domestic refinery output increased, while Nigerian refined-product exports to Europe expanded during 2026.

A Major Test for African Capital Markets

The IPO will provide a major test of investor appetite for large African industrial assets. A successful offering would surpass previous African IPOs and introduce a company with a valuation approaching $50 billion to Nigeria’s public equity market.

The timing is strengthened by improving refinery profitability. The business generated approximately $1.82 billion in net profit during the first half of 2026, compared with a loss in 2025, as utilisation increased and global petroleum-market conditions strengthened.

For Dangote, however, the transaction extends beyond raising capital. Public ownership provides another financing channel for a refinery with ambitions to double production, expand its distribution infrastructure and deepen its position in African energy markets.

If the offer attracts the millions of investors being targeted, the listing could become both Africa’s biggest IPO and one of the continent’s most consequential experiments in broadening public ownership of a major privately built industrial asset.
