Derichebourg Launches €800 Million Senior Green Bond Offer

Derichebourg S.A. announced on September 7, 2026 the launch of an offer of senior green bonds with a total principal amount of €800 million.

The issuance consists of senior bonds maturing in 2031 and senior bonds maturing in 2033. Derichebourg said the completion of the offer is not guaranteed, nor are the conditions under which it would take place.

If completed, the €800 million green bond offering would primarily support the company’s refinancing plans following the acquisition of Scholz businesses by Derichebourg Environnement.

Green Bond Proceeds to Refinance Scholz Acquisition Debt

The gross proceeds are intended to repay amounts drawn under the bridge credit facility related to Derichebourg Environnement’s acquisition of 100% of the capital of Scholz Holding GmbH and 80% of the capital of Scholz Recycling GmbH.

The funds would also be used to repay in advance all outstanding 2.250% senior bonds of €300.0 million maturing in 2028.

In addition, Derichebourg intends to repay the remaining amount due under the term loan agreement entered into as part of the syndicated credit agreement signed on March 19, 2020.

The proceeds would also cover certain costs, fees and expenses related to the refinancing and acquisition. These include accrued and unpaid interest on the debt being refinanced.

Any remaining balance would be used for general corporate purposes.

Derichebourg Links Green Bond to June 2026 Framework

Derichebourg expects to use an amount equal to the net proceeds of the offering to finance or refinance, in whole or in part, new or existing eligible expenditures.

The eligible expenditures will be selected in line with Derichebourg’s Green Finance Framework dated June 2026.

The framework was prepared in accordance with the Green Bond Principles administered by the ICMA.

The green designation therefore links the financing to expenditures that comply with the company’s green financing framework and ICMA standards.

Derichebourg’s core activities include recycling and environmental services, providing the business context for the green financing framework.
