Kenya’s Cabinet has approved $350 million (approximately Sh45.4 billion) in shareholder financing for Kenya Airways and endorsed a separate plan to restructure Sh122 billion in existing government loans and accrued interest. The October 9 financing decision aims to help the airline repair aircraft, meet pressing obligations and attract fresh investment. However, approval does not mean the new loans have been fully disbursed or the proposed debt conversion has been completed.

Key Overview

  • The government approved up to Sh45.4 billion in new shareholder loans, to be released in stages under National Treasury oversight.
  • The financing has a repayment period of up to 10 years and may be converted into shares, subject to approvals.
  • A separate Sh122 billion restructuring proposal concerns existing government debt and interest, not an additional cash injection.
  • Kenya Airways reported a Sh16.1 billion after-tax loss in the first half of 2026 despite higher revenue.
  • Fleet restoration and the search for a strategic investor remain central to the airline’s recovery.

How the Sh45.4 Billion Financing Will Work

The new shareholder loans are intended to cover urgent financial obligations, including aircraft maintenance and bringing grounded planes back into operation. Rather than arriving as a single payment, the funds will be released in tranches supervised by the National Treasury.

The Cabinet described a repayment period of up to 10 years, with the possibility of converting the financing into equity. That potential conversion would require further approvals and could affect the government’s stake and other shareholders’ percentage ownership. No final conversion price or timetable has been disclosed.

The government currently owns approximately 48.9% of Kenya Airways. The airline is listed on the Nairobi Securities Exchange, making the terms of any future share issuance relevant to public investors as well as taxpayers.

What the Sh122 Billion Debt Restructuring Means

Alongside the fresh funding, the Cabinet endorsed converting existing Treasury claims amounting to Sh122 billion into an equity-qualifying tradable instrument. This is a balance-sheet proposal involving debt already owed, not another Sh122 billion of money being provided to the airline.

Restructuring could ease debt pressure and make the carrier more attractive to investors, depending on how the instrument is designed. Yet its conversion rights, repayment obligations, accounting treatment and implications for shareholders have not been fully explained. An equity-qualifying instrument should not automatically be described as ordinary shares already issued to the government.

Both measures remain subject to the necessary corporate, shareholder and regulatory approvals. Their combined headline amounts therefore cannot be treated as an immediate Sh167.4 billion cash bailout.

Why Kenya Airways Needs Another Financial Lifeline

The carrier recorded a Sh17.16 billion net loss in 2025, reversing a Sh5.43 billion profit in 2024. Its revenue fell 14% to Sh161.47 billion as aircraft shortages restricted flight capacity, according to reported annual financial results.

The pressures continued into 2026. In its first-half earnings announcement, Kenya Airways reported revenue growth of 9% to approximately Sh81 billion, but its after-tax loss widened to Sh16.1 billion, from Sh12.2 billion a year earlier. Available seat capacity declined 9%, total operating costs rose 14%, and fuel costs increased 32%.

These results illustrate why stronger ticket sales alone have not restored profitability. Higher fuel bills, aircraft maintenance problems, reduced capacity and financing obligations continue to put pressure on the airline’s cash position.

Fleet Restoration and Investor Search Remain Crucial

Aircraft availability is a major test for the turnaround. Three Boeing 787-8 Dreamliners were grounded during 2025 amid parts and engine constraints, although the airline confirmed progress restoring capacity in 2026. One Dreamliner resumed service in mid-July, and a Boeing 777-300ER was also returned to operations. The earlier grounding figure should not be mistaken for a confirmed current count of unavailable aircraft.

Kenya Airways is also seeking a strategic partner to provide additional capital and potentially support fleet expansion. The Treasury had targeted an investor by year-end, but a binding deal has not been publicly confirmed. The new financing could offer breathing room while negotiations continue, without guaranteeing a successful agreement.

What Comes Next for the Airline and Taxpayers

The government says Kenya Airways contributes more than $1.3 billion annually to Kenya’s economy through aviation, tourism and trade. That is the Cabinet’s estimate of the carrier’s wider economic contribution, not evidence that the latest support will pay for itself.

The next milestones will be actual loan disbursements, publication of the Sh122 billion restructuring terms, the return of more aircraft to service and progress in securing a strategic investor. Ultimately, Kenya Airways will need to show that growing revenue can consistently cover operating and financing costs. The Cabinet’s approvals offer potential relief, but do not yet establish a completed financial turnaround.
