South Africa’s Nedbank Group has announced a controlling investment in Kenya’s NCBA Group following an offer to purchase approximately 66% of its shares. The October 19, 2026 announcement marks a major expansion of Nedbank’s presence in East Africa. Although both banks described the transaction as completed, the formal market timetable shows that share transfers and shareholder payments are expected to begin around November 3. NCBA will retain its name, leadership and Nairobi Securities Exchange listing.

Nedbank Secures Control of NCBA After Regulatory Approvals
The October 19 transaction announcement states that the acquisition followed the required regulatory approvals and will make NCBA a subsidiary of Nedbank. The deal gives the South African lender a controlling position in a banking group with operations across several African markets and a strong base in Kenya.
Nedbank first announced its proposed majority investment in January 2026, initially valuing the proposed purchase at approximately R13.9 billion using the assumed share-issue price at that time. This was an indicative transaction value, not a confirmed final cash settlement figure.
Why 79.9% of Shareholders Accepted but Nedbank Gets 66%
The offer closed on July 10, with investors tendering 1,316,357,895 NCBA shares, equivalent to 79.9% of all issued shares. That exceeded Nedbank’s targeted acquisition of about two-thirds of the bank.
Under the offer’s proportional allocation rules, excess applications were reduced so that Nedbank would acquire approximately 1,087,362,891 shares, representing 66% of issued share capital. The remaining 34% will continue to be held by other investors. Therefore, the 79.9% figure measures shares offered for sale, not Nedbank’s final ownership percentage.

Shareholder Payments and NCBA Trading Suspension
According to the formal market settlement timetable, the offer became unconditional on October 15, 2026. The settlement date is October 21, while transfer of shares to Nedbank and the start of cash and share consideration are expected around November 3. Final settlement figures are scheduled for announcement around November 5.
NCBA shares are expected to be suspended from trading on the Nairobi Securities Exchange after the close of business on October 21 until November 2, to allow reconciliation of the shareholder register. Trading is scheduled to resume around November 3.
Eligible investors will generally receive a combination of cash and newly issued Nedbank shares. The shareholder settlement conditions provide for cash-only payments in specified circumstances, including smaller allocations and certain investors who cannot hold offshore-listed shares. New Nedbank shares will trade in Johannesburg, not Nairobi.
LIVENSE market summarySee NSE data →What the Acquisition Means for NCBA Customers
NCBA will retain its brand, local leadership and Nairobi headquarters, with existing branches, banking products and digital services continuing as usual. Nedbank previously operated a representative office in East Africa, so the transaction does not require the integration of an existing full-scale local banking business into NCBA.
The banks expect the relationship to support cross-border financing, corporate banking, asset finance and digital financial services. However, potential growth in regional lending and investment is a strategic objective, not an immediate financial outcome guaranteed by the acquisition.
What Investors Should Watch Next
The immediate milestones are the resumption of NCBA share trading, completion of the block transfer and confirmation of the final cash and Nedbank-share consideration. Nedbank expects to consolidate NCBA’s results into its group financial statements in the fourth quarter of 2026.
For minority investors, the key questions will be how NCBA performs under its new controlling shareholder, whether its dividend and growth strategies evolve, and how the continued Nairobi listing supports trading liquidity. The transaction expands Nedbank’s regional reach while preserving NCBA’s existing market identity.
