Kenya’s Capital Markets Authority has cautioned investors over the ongoing Dangote Petroleum Refinery and Petrochemicals IPO, clarifying that the offer is regulated in Nigeria but has not been submitted to or approved by the Kenyan regulator.
The warning does not invalidate the IPO itself. Nigeria’s securities regulator approved the public offer, which opened on September 14, 2026. Kenya’s notice instead focuses on the regulatory status of the offer within Kenya and the risk of investors relying on unverified prospectuses, promotional material or unauthorised channels.
Key Overview
- Kenya’s CMA says the Dangote Refinery IPO has not been submitted for approval under Kenya’s capital markets framework.
- The IPO is separately approved and regulated in Nigeria.
- The offer comprises up to 4.1 billion shares priced at ₦525 each.
- The fundraising target is about ₦2.15 trillion, equivalent to roughly $1.6 billion at the time of launch.
- The offer opened on September 14 and is scheduled to close on October 13, 2026.
- Kenyan investors have been urged to verify documents, platforms and intermediaries before sending money or personal information.
- CMA’s notice is a regulatory caution, not a declaration that the genuine Nigerian IPO is fraudulent.
CMA Clarifies the Kenyan Regulatory Position
The Kenyan regulator issued its notice after information about the refinery share offer began circulating widely among local investors.
It stated that the public offer has not been submitted for consideration or approval in Kenya, meaning the regulator has not reviewed or authorised it under the country’s applicable capital-markets framework.
That distinction matters because a security approved in one jurisdiction does not automatically become an approved public offer in another. Kenya’s regulator oversees public securities offerings marketed within its jurisdiction as part of its investor-protection and market-integrity mandate.
The authority therefore advised investors to independently verify any prospectus, subscription link or promotional material before committing funds or sharing personal and financial information.
Nigerian Regulator Has Approved the IPO
While the offer lacks Kenyan approval, it is an authorised public offering in Nigeria.
Nigeria’s securities regulator confirmed that it had approved the IPO to open on September 14 and instructed investors to use only officially approved receiving agents, subscription channels and platforms.
The offer involves up to 4.1 billion ordinary shares at ₦525 each, giving it a potential fundraising value of approximately ₦2.15 trillion. The subscription period is scheduled to run until October 13.
The minimum subscription is 10 shares, after which additional applications are made in multiples specified in the offer documentation.
The Nigerian regulator has separately warned investors not to transfer money to people or entities claiming to accept subscriptions outside officially designated channels.

Why Kenya’s Warning Matters
The refinery IPO has attracted extensive attention across Africa, increasing the likelihood that unofficial links, copied prospectuses and third-party promotions could circulate beyond Nigeria.
Kenya’s CMA is therefore urging investors to distinguish between the genuine Nigerian offer and any person or platform claiming to provide access to it locally.
Investors can check whether a Kenyan firm is authorised through the regulator’s official register of licensed institutions. The register covers investment banks, stockbrokers, investment advisers and other regulated capital-markets businesses.
The warning is particularly relevant where an investor is asked to send money directly to an individual, provide sensitive information through an unfamiliar website or rely on a document whose origin cannot be established.
IPO Targets Major Refinery Expansion
The public offer is intended to provide capital for the next stage of Dangote Petroleum Refinery’s expansion.
The refinery is currently processing up to around 700,000 barrels per day and plans to expand capacity to 1.4 million barrels per day over the coming years.
The share sale values the business at tens of billions of dollars and is among the largest equity offerings undertaken on the continent. Its size and the refinery’s strategic role in regional fuel markets have helped generate strong interest among both institutional and retail investors.
However, Kenyan regulatory approval and Nigerian regulatory approval remain separate issues.
Investors Should Separate the Offer From Unverified Promotions
The most important message from the Kenyan notice is therefore not that the Dangote IPO is fake, but that investors should understand where it is regulated and through which channels they are being approached.
A genuine overseas security can still be used as the basis for misleading promotions or unauthorised fundraising. Investors should confirm the source of documents, verify the regulatory status of intermediaries and avoid making payments through unofficial channels.
For Kenyan investors, CMA’s position remains clear: the Dangote Refinery public offer is regulated in Nigeria and has not been submitted for approval under Kenya’s capital-markets framework.
