Dangote Refinery IPO: how Kenyan investors can buy shares, highlighting IPO investing, Nigerian equities, cross-border investing, and Kenyan investors
Share

Dangote Petroleum Refinery and Petrochemicals FZE has opened a major Nigerian initial public offering, giving eligible investors an opportunity to buy into the Lagos refinery before its planned listing on the Nigerian Exchange.

The offer consists of 4.1 billion ordinary shares at N525 each, targeting about N2.15 trillion, or roughly $1.6 billion. It opened on September 14, 2026 and is scheduled to close on October 13, 2026, subject to the approved prospectus.

For Kenyan investors, one distinction is essential: this is a Nigerian public offer, not a Kenyan IPO. It is not being offered through the Nairobi Securities Exchange, and no Kenyan public-offer approval from the Capital Markets Authority has been identified. Kenyan participation should therefore use only a permitted cross-border route through licensed and approved intermediaries.

Key Overview

  • Dangote is offering 4.1 billion shares at N525 each, with a standard minimum subscription of 10 shares, or N5,250.
  • The offer opened on September 14 and is scheduled to close on October 13, 2026.
  • The shares are being offered for listing in Nigeria, not simultaneously on the Nairobi Securities Exchange.
  • The offer includes eligible African investors, subject to the prospectus and applicable local securities laws.
  • Kenyan investors should use only licensed intermediaries and approved Nigerian subscription channels.
  • Investors should not send money to individuals, informal agents or unverified online platforms.

What Dangote Is Offering

The approved IPO terms comprise 4.1 billion ordinary shares at N525 per share. At full subscription, the offer would raise approximately N2.15 trillion.

The standard public-offer minimum is 10 shares, equivalent to N5,250. The refinery’s official subscription information says applications must be made only through approved receiving agents or electronic application channels.

The refinery was originally designed for 650,000 barrels per day and recent disclosures put operating capacity at about 700,000 barrels per day. Management plans to expand the complex toward 1.4 million barrels per day.

At N525 per share, figures released around the offer imply a market value of roughly N65 trillion. Investors are therefore gaining exposure to a very large industrial asset, but refinery margins, expansion execution, regulation, oil-market conditions and currency movements remain important risks.

Can a Kenyan Investor Buy the IPO?

Potentially, yes — but not by treating it as a Kenyan public offer.

The Nigerian Exchange says the transaction is open to eligible African investors. Approved offer materials indicate that investors from certain African jurisdictions may participate through designated African distribution channels, subject to their local securities laws and acceptance by the relevant intermediary.

A Kenyan investor should begin with a firm appearing on the official list of licensed Kenyan intermediaries and establish whether it has an authorised cross-border arrangement for this specific offer.

The final subscription must also go through an approved Nigerian receiving agent, broker or electronic application channel. Nigeria’s regulator has warned investors to use only officially approved channels and avoid payments to individuals or unauthorised platforms.

Depending on the approved route, an investor may need Nigerian market records such as a CSCS account or Clearing House Number, together with identification, banking and know-your-customer documentation. Some approved channels can facilitate the required securities account during processing.

Why the IPO Is Not Being Sold Directly Through the NSE

The current offer was approved in Nigeria and is being conducted through Nigerian capital-market infrastructure. It has not been launched as a parallel public offer on the NSE.

This matters legally because Kenya’s public-offer rules generally require a prospectus submitted to and approved by the CMA before securities are publicly offered to any section of the public in Kenya, unless an applicable exemption applies.

Earlier discussions about broader African access or possible future cross-listings should therefore not be confused with the present IPO.

An advertisement, social-media account or informal agent targeting Kenyans cannot simply be assumed to be an authorised Dangote IPO channel. Investors should verify both the Kenyan intermediary and the Nigerian receiving route before transferring funds.

What Kenyan Investors Should Check Before Paying

The first check is regulatory status. Confirm that any local firm providing advice or facilitation is appropriately licensed in Kenya and that the final subscription channel is approved for the Nigerian offer.

Investors should also read the prospectus and confirm the applicable minimum investment, account requirements, fees, foreign-exchange conversion and arrangements for holding the resulting Nigerian shares.

Currency exposure matters as well. The shares are priced and expected to trade in Nigerian naira, while a Kenyan investor may measure returns in shillings. Movements in the naira-shilling exchange rate can therefore affect the final investment return.

Subscription also does not guarantee full allotment. If demand exceeds available shares, investors may receive fewer shares than requested according to the approved allotment process.

For Kenyan investors, the key issue is therefore not simply gaining access to Africa’s largest refinery IPO, but ensuring that any participation is legal, verified and processed through licensed channels.
