The deal combines Class A and Class B notes with a residual interest and marks a major increase from the company’s first $50 million investment-grade securitized note completed in 2025. Abacus says the new securitization structure is designed not only to provide capital for additional policy originations but also to expand its asset-management platform and recurring fee-related earnings.

Key Overview

  • The securitization is valued at more than $400 million, including Class A notes, Class B notes and a residual interest.
  • The notes received an investment-grade rating from an unnamed third-party rating agency.
  • A special-purpose vehicle issued the notes against a diversified pool of life insurance policies.
  • Abacus will continue servicing the underlying policies through its affiliates.
  • Net proceeds are expected to support additional policy originations and general corporate purposes.
  • The deal follows Abacus’s $50 million investment-grade securitization completed in 2025.
  • Management says securitization can expand institutional distribution while increasing recurring management and servicing fees.

A Much Larger Step Into Securitized Life Assets

The September 23 transaction represents a significant expansion of a funding model Abacus began establishing in 2025. The company previously completed a $50 million investment-grade securitized note backed by life insurance assets, describing that earlier transaction as a template for future offerings.

In the latest deal, a special-purpose vehicle issued two classes of notes backed by a portfolio of life insurance policies. The overall structure exceeds $400 million when the Class A and Class B notes and residual interest are combined.

Abacus did not disclose the precise amount assigned to each tranche, their coupon rates, maturities or the identity of the third-party rating agency in its announcement. As a result, the disclosed information establishes the transaction’s overall size and broad structure but does not provide enough detail to independently assess its pricing or full credit economics.

How Life Insurance Policies Become Investable Assets

Abacus operates in the longevity and life-settlement market, where existing life insurance policies can become financial assets that are purchased, managed and ultimately included in investment portfolios.

A securitization pools those assets into a vehicle that can issue securities to investors. The life insurance policies and associated cash flows effectively support the securities issued by the vehicle.

For Abacus, this creates another way to move policy assets into institutional investment structures while continuing to participate in their administration. Its annual filing says the company expects securitized portfolios to become a recurring funding channel alongside policy sales to third parties and internally managed investment funds.

The servicing component is particularly important. Abacus can continue administering securitized policies through its affiliates, creating opportunities to earn servicing fees even after assets have moved into separate investment structures.

Institutional Capital Becomes More Important

Management said the transaction attracted strong demand from institutional fixed-income investors. The investment-grade rating is significant because higher credit ratings can broaden the range of institutional investors able to consider an issuance under their investment mandates.

Abacus has increasingly positioned longevity-linked assets as an alternative investment category whose performance drivers differ from traditional equity and corporate credit markets.

At the beginning of 2026, the company said fee-related earnings such as management and servicing fees represented approximately 15% of total revenue, while setting a long-term ambition of increasing that share to 70%. The recurring-revenue transition is intended to reduce reliance on gains generated principally through individual policy transactions.

The latest securitization fits directly into that strategy because Abacus can originate policies, package portfolios for institutional investors and retain servicing responsibilities across the resulting structures.

Deal Comes During Broader Asset-Management Expansion

The securitization also comes during a period of significant growth in Abacus’s asset-management activities.

During the first half of 2026, the company raised $544.2 million in new capital across its longevity funds, exceeding its $500 million first-half target. Second-quarter revenue reached $73.0 million, representing a 30% increase from $56.2 million a year earlier.

As of June 30, Abacus reported approximately $383.0 million of life-settlement policies held at fair value on its balance sheet. Its second-quarter financial results also showed $130.9 million in operating cash flow for the first six months of 2026.

That policy inventory helps explain the strategic value of securitization. Packaging portfolios for institutional capital can provide another mechanism for recycling capital into new policy originations instead of leaving a growing amount of capital tied to assets held on the company’s balance sheet.

Abacus expects proceeds from the new transaction to support further policy origination and general corporate purposes while expanding assets managed through its platform.

The longer-term financial effect will depend on whether Abacus can repeat transactions of this scale on attractive terms, maintain institutional demand and translate the expanding securitization platform into the larger recurring fee base management is targeting.
