RWE Raises $1.5 Billion Through Green Bond

German utility RWE has successfully issued its third US dollar green bond, with a total volume of US$1.5 billion.

The issuance was split into two tranches of US$750 million each, providing RWE with both medium-term and longer-term funding through the US dollar bond market.

The first tranche has a 5-year tenor, while the second has a 10-year tenor. The issuance attracted strong investor interest, with the order book more than six times oversubscribed.

The transaction follows RWE’s previous US dollar green bond issuances in 2024 and 2025 and reiterates the company’s plans to regularly access the US dollar bond market.

RWE plans to issue between €3.0 billion to €3.5 billion of bonds in various currencies per year on average.

Five-Year and 10-Year Tranches

Infographic showing RWE’s US$1.5 billion green bond split into two US$750 million tranches with five-year and 10-year maturities.

The first US$750 million tranche carries a 5.625% annual coupon. It was issued at a price of 99.944%, resulting in a yield to maturity of 5.638 percent.

The second US$750 million tranche has a 6.000 percent coupon and an issuance price of 99.747%. Its yield to maturity is 6.034%.

The two-tranche structure provides RWE with a combination of medium-term and long-term funding at fixed rates.

The company can therefore access different maturity periods through a single US dollar transaction while adding to the currency mix of its debt portfolio.

Strong Investor Interest

The green bond attracted significant demand from investors, with the order book exceeding six times the amount issued.

The transaction also gives RWE access to US dollar debt markets and broadens its investor base beyond Europe.

The dual-tranche structure provides a sizeable green financing instrument while allowing the company to diversify its funding sources and currency exposure.

Proceeds Target Renewable Energy and Storage

RWE will allocate the proceeds exclusively to eligible green projects under its Green Financing Framework.

The financing will focus on renewable energy generation and storage technologies, supporting projects across the company’s wind, solar and storage pipeline.

The issuance therefore links the company’s US dollar borrowing directly to eligible green investments.

Green bonds remain a funding mechanism for energy companies financing sustainable generation capacity, with RWE using the latest issuance to support its renewable energy and storage activities.

RWE Continues US Dollar Green Bond Programme

The latest transaction is RWE’s third US dollar green bond, following earlier issuances in 2024 and 2025.

The repeated access to the US dollar bond market forms part of RWE’s broader financing plans, with the company expecting to issue bonds in various currencies each year.

The latest US dollar transaction also adds to the company’s pool of green financing while providing funding across five-year and 10-year maturities.

Outlook

RWE’s US$1.5 billion green bond provides the company with medium- and long-term funding through two US dollar tranches. Strong investor demand resulted in an order book more than six times oversubscribed.

The proceeds will be allocated exclusively to eligible green projects under RWE’s Green Financing Framework, with a focus on renewable energy generation and storage technologies.

The transaction also reinforces RWE’s continued use of the US dollar bond market alongside its broader plan to issue between €3.0 billion and €3.5 billion of bonds across various currencies per year on average.
