Nigeria’s Dangote Petroleum Refinery and Petrochemicals has extended its initial public offering (IPO) to October 27, 2026, giving investors across Africa more time to participate in a major industrial share sale. The revised offer period was confirmed on October 12 following approval from Nigeria’s Securities and Exchange Commission.

The offering seeks to raise approximately $1.6 billion, potentially increasing to $2.1 billion if an over-allotment option is exercised. Proceeds are intended to support expansion of the refinery near Lagos. The sale, which aims to reach retail investors throughout the continent, is expected to rank as Africa’s largest IPO if completed at the announced scale.

Key Overview

  • New closing date: October 27, 2026, replacing the original October 13 deadline.
  • Fundraising target: About $1.6 billion, potentially reaching $2.1 billion through an over-allotment option.
  • Offer terms: Approximately 4.1 billion ordinary shares are offered at ₦525 each.
  • Investor reach: The company is targeting up to 10 million retail investors in Nigeria and elsewhere in Africa.
  • Regional access: Cross-border regulatory approvals and investment channels remain central to wider participation.

Why the IPO Was Extended

The public offer opened on September 14 and was due to close on October 13. Although early reports described a 10-day extension, the company’s later announcement confirmed a two-week extension ending October 27. According to the company’s revised timetable, the additional period will support account opening, identity verification and the development of channels for investors outside Nigeria.

Aliko Dangote said the decision was designed to increase the number of shareholders rather than simply raise more money. He also claimed that subscriptions had already exceeded the original fundraising objective several times over, although the reported subscription claims are not a final independently verified allocation result.

African Investors Face Cross-Border Barriers

The sale highlights a longstanding problem: an investment approved in one African country does not automatically become a registered public offer in another. The cross-border access challenges include different securities regulations, limited distribution networks and additional investor documentation.

There has been progress. Regulators in Kenya approved a route involving global depositary receipts, while Uganda’s market regulator also authorized local participation in the offer. Depositary receipts can provide exposure to underlying shares, subject to the specific rules and distribution arrangements of each market.

The company plans to expand distribution channels and use depositary receipt programmes to give eligible investors more routes into the sale. However, eligibility and purchase procedures can still vary by country, so the extension should not be interpreted as unrestricted access throughout Africa.

How the Capital Could Support Refinery Expansion

The share offering covers 4.1 billion ordinary shares at ₦525 per share, equivalent to approximately ₦2.15 trillion before any applicable over-allotment. A minimum application of 10 shares corresponds to ₦5,250 before fees, according to the published offer details.

The refinery is reported to process around 700,000 barrels of crude oil per day. Its expansion plans envision raising capacity toward 1.4 million barrels per day, which would increase financing requirements and operational complexity. The planned capacity expansion helps explain why the IPO matters beyond the immediate share sale.

Public equity can spread ownership and reduce reliance on borrowing, but it does not guarantee that expansion milestones will be achieved or that investors will earn positive returns.

A Test for Africa’s Capital Markets

If completed at its intended scale, the IPO could demonstrate how domestic and regional investors help fund large industrial assets. It may also expose gaps that regulators, exchanges and intermediaries will need to address before similar pan-African offerings become easier to execute.

The next milestones include the October 27 application deadline, followed by the share-allotment process and an eventual trading date. The final amount raised, number of participating investors and cross-border allocation will provide a clearer assessment of the offering’s success.
