Uganda has joined Kenya in opening a regulated route into Dangote Petroleum Refinery’s roughly $1.6 billion initial public offering (IPO). Uganda’s approval, announced on October 6, 2026, allows only professional and high-net-worth investors to participate, while Kenya has authorised a global depositary receipt structure for eligible investors. The expansion broadens access to the Nigerian share sale, but eligibility, custody arrangements and regulatory conditions differ by market.

Key Overview

  • Uganda approved restricted access on October 6, limited to professional and high-net-worth investors.
  • Kenya approved a depositary-receipt route on October 5, with any eventual local listing subject to further approvals.
  • The offer covers 4.1 billion shares at ₦525 each, targeting approximately ₦2.15 trillion ($1.6 billion).
  • The Nigerian IPO opened on September 14 and is scheduled to close on October 13, 2026.
  • Proceeds are intended to support the refinery’s expansion, while investors remain exposed to operational, market and currency risks.

Uganda Clears a Restricted Cross-Border Share Offering

Uganda’s capital markets regulator approved marketing and distribution of the refinery shares following an application by Stanbic IBTC Capital. The authorisation applies to professional and high-net-worth investors, rather than the general public.

The regulator requires distribution through properly authorised local intermediaries and has cautioned that permission to offer the securities does not mean it has endorsed the refinery’s financial prospects. The restriction makes Uganda’s framework narrower than a general retail invitation.

Kenya Offers Access Through Depositary Receipts

Kenya’s regulator approved a short-form prospectus on October 5 submitted by Renaissance Capital (Kenya). The arrangement would allow eligible investors to participate through global depositary receipts (GDRs), certificates representing shares in a foreign company.

Renaissance Capital (Kenya) will coordinate custody of investor funds while working with its Nigerian counterpart. Following a successful offering and share allocation, the firm intends to arrange a listing of the GDRs on the Nairobi Securities Exchange. That listing is not yet automatic: it requires additional Nigerian regulatory approvals and fulfilment of the transaction’s conditions.

The Kenyan approval also explicitly concerns the existing refinery in Nigeria, not the separately proposed Dangote refinery project in Kenya’s Lamu County.

How Large Is the Dangote Refinery IPO?

The approved Nigerian offering opened on September 14. Its published subscription terms specify 4.1 billion ordinary shares at ₦525 each, equivalent to approximately ₦2.15 trillion before transaction expenses. The roughly $1.6 billion equivalent depends on exchange rates.

The fundraising is linked to plans to expand the refinery’s processing capacity toward 1.4 million barrels per day. However, the proposed expansion remains a future investment programme, and an IPO subscription does not guarantee execution of that programme or an investment return.

Chief executive David Bird has also described an ambition to attract 10 million retail investors. That company-wide aspiration should not be confused with Uganda’s restricted investor eligibility.

What Regional Investors Should Consider

Access arrangements across African markets are not interchangeable. Ugandan investors must satisfy the country’s professional or high-net-worth requirements, whereas Kenyan participants must follow the authorised depositary-receipt process and the eligibility criteria communicated through licensed intermediaries.

Investors should examine the approved prospectus, currency conversion, custody charges, share allocation rules and the risks of holding securities tied to a capital-intensive refining business. Nigeria’s regulator has specifically warned against unauthorised subscription channels, including promises of guaranteed allotment.

Outlook: A Regional Test for African Capital Markets

The Ugandan and Kenyan approvals show how a nationally launched IPO can attract regional participation without identical distribution rules in every country. Whether the offering becomes a lasting model for cross-border African fundraising will depend on investor demand, successful settlement, regulatory coordination and any subsequent secondary-market trading arrangements.
