Aon has priced a US$13.5 billion investment-grade bond offering to help finance its planned US$17 billion acquisition of USI Insurance Services. The seven-tranche debt package spans maturities from 2029 to 2056 and is expected to generate about US$13.4 billion in net proceeds after underwriting discounts and expenses.

Demand proved substantially stronger than the initial indications cited before pricing. Investor orders rose to about US$65 billion during the sale, close to five times the amount issued, allowing Aon to tighten pricing across the offering.

Key Overview

  • Aon priced US$13.5 billion of senior unsecured notes across seven tranches.
  • The notes mature between 2029 and 2056, with coupons ranging from 5.350% to 6.450%.
  • Net proceeds are expected to total about US$13.4 billion.
  • The debt will support Aon’s planned US$17 billion cash acquisition of USI and repayment of about US$4.3 billion of USI debt.
  • Investor demand reached roughly US$65 billion, close to five times the size of the offering.
  • The USI transaction is expected to close in the fourth quarter of 2026, subject to regulatory approvals and other customary conditions.

Seven Tranches Stretch From Three to 30 Years

The final terms show Aon distributing the financing across seven maturities. The company is issuing US$2 billion of 5.350% notes due 2029, US$3 billion of 5.625% notes due 2031, US$2 billion of 5.800% notes due 2033 and US$2.75 billion of 5.950% notes due 2036.

The longer-dated portion comprises US$1 billion of 6.100% notes due 2038, US$750 million of 6.450% notes due 2046 and US$2 billion of 6.450% notes due 2056. The final pricing terms show expected delivery of the securities on September 17, with interest payments beginning in March 2027.

The structure gives Aon a broad maturity profile rather than concentrating the acquisition financing in a single repayment period. Citigroup, BofA Securities, HSBC, Morgan Stanley and Wells Fargo Securities are among the joint book-running managers, alongside several other banks.

USI Deal Expands Aon’s Middle-Market Reach

Aon agreed in August to acquire USI from KKR and other shareholders in a US$17 billion all-cash transaction, with the purchase intended to strengthen its position in the U.S. middle-market insurance segment.

USI generated about US$3 billion in annual revenue and has more than 10,500 employees across over 200 offices. The combination is expected to deepen Aon’s presence in property and casualty insurance, employee benefits, personal risk and retirement solutions.

Aon estimates the transaction could deliver approximately US$395 million in annual run-rate net adjusted EBITDA impact from identified revenue and cost synergies. The company expects the acquisition to be dilutive to adjusted earnings per share in 2027 before becoming accretive from 2028.

Financing Package Goes Beyond the Bond Sale

The bond offering is only one part of the acquisition financing. Aon has also arranged a new senior unsecured term loan facility of up to US$4 billion and a US$3 billion multicurrency revolving credit facility. Proceeds from the bonds and related financing are intended to fund the cash consideration, repay around US$4.3 billion of existing USI indebtedness and cover transaction-related costs.

The acquisition itself remains subject to regulatory approvals and customary closing conditions, with Aon targeting completion in the fourth quarter of 2026 while the two companies continue to operate independently until closing.

Bondholders Get Deal-Completion Protection

Most of the new bonds include a special mandatory redemption provision tied to completion of the acquisition. If the USI deal is not completed by June 1, 2027, subject to two potential three-month extensions for outstanding regulatory approvals, or certain other termination events occur, Aon would have to redeem the acquisition-related notes at 101% of principal plus accrued interest.

The redemption provision applies to all of the USI acquisition notes except the 2056 tranche. This differs from the earlier market report that referenced a December 1, 2027 deadline and reflects the final prospectus terms now available.

Strong investor demand for the offering gives Aon substantial committed debt funding ahead of the planned USI closing. The focus now shifts to regulatory clearance, integration execution and the company’s ability to reduce leverage after completing one of the largest insurance brokerage transactions of 2026.
