Quickmart is preparing for one of Kenya’s most significant recent retail listings, with its sole shareholder, Sokoni Retail Kenya Limited, planning to sell 2 billion existing shares representing 50% of the supermarket chain’s issued ordinary share capital.

The proposed offer structure means Quickmart will not issue new shares or receive proceeds from the transaction. Instead, the listing would provide existing investors with a partial exit while introducing public shareholders into a business that has expanded rapidly over the past several years.

Key Overview

  • Sokoni Retail Kenya plans to sell 2 billion existing Quickmart shares, equivalent to 50% of issued ordinary share capital.
  • The offer is expected to launch on or around September 30, 2026, subject to regulatory approvals.
  • An expected 15% over-allotment option on the offer shares could increase the stake sold to as much as 57.5% of Quickmart.
  • Quickmart operates 72 stores across 16 counties, supported by about 5 million customer transactions per month and roughly 2.5 million Q-Points members.
  • FY2025 revenue reached approximately KSh 50.43 billion, while reported profit after tax stood at about KSh 1.51 billion.
  • Quickmart forecasts revenue of KSh 58.20 billion in 2026 and KSh 67.44 billion in 2027, although these remain forward-looking estimates rather than audited results.
  • The retailer plans to open 10 to 15 new stores annually while primarily funding expansion through internally generated cash.

A Shareholder Exit Rather Than a Fresh Capital Raise

Quickmart’s proposed transaction differs from an IPO designed primarily to inject new capital into a company. Sokoni currently owns Quickmart’s entire issued share capital and will sell existing shares to incoming investors, meaning the proceeds will go to the selling shareholder rather than Quickmart itself.

The 2 billion shares being offered have a nominal value of KSh 0.20 each and represent half of Quickmart’s issued ordinary share capital. An over-allotment option could add shares equivalent to another 15% of the original offer, potentially increasing the total stake sold to 57.5% and reducing Sokoni’s remaining ownership to approximately 42.5%.

The proposed transaction is subject to approvals from Kenya’s capital-markets authorities and admission to the Nairobi Securities Exchange’s Main Investment Market Segment. Detailed pricing, allocation terms, risk disclosures and the final timetable are expected to be contained in the Information Memorandum.

The eventual offer price remains one of the most important missing numbers because it will determine Quickmart’s implied equity valuation and how much the existing shareholders could realise from the transaction.

From Two Supermarket Chains to a National Retailer

Quickmart traces its history to Nakuru, where the business was established in 2006. Its transformation accelerated after private-equity investment brought Quickmart together with Tumaini Self Service.

Adenia’s historical disclosures indicate that Tumaini operated nine supermarkets when it was acquired in 2018, while Quickmart operated 10 when the investment was made in 2019. Kenya’s competition regulator subsequently approved Sokoni’s acquisition of Quickmart, allowing the businesses to be brought together.

Regulatory records later described an investment exceeding KSh 2 billion by Sokoni in Quickmart. The two supermarket businesses were ultimately combined under the Quickmart brand, creating a stronger platform for national expansion.

Quickmart now reports 72 stores across 16 counties, including hypermarket, supermarket and express formats. Thirty-five outlets operate on a 24-hour basis, while the retailer estimates that it accounts for about 15% of Kenya’s modern grocery retail market.

Revenue and Profit Growth Build the IPO Story

Quickmart’s expansion has been accompanied by significant revenue growth. Revenue increased from KSh 25.68 billion in 2021 to KSh 50.43 billion in 2025, more than doubling within four years.

Reported profit after tax increased from approximately KSh 182.6 million in 2021 to KSh 1.51 billion in 2025. Quickmart separately reports adjusted profit after tax of about KSh 1.7 billion for 2025, after accounting for certain non-recurring items.

For the first six months of 2026, Quickmart recorded approximately KSh 27.27 billion in revenue and KSh 872.8 million in net profit. Its financial forecasts point to FY2026 revenue of KSh 58.20 billion and profit after tax of KSh 2.10 billion, followed by KSh 67.44 billion in revenue and KSh 2.85 billion in profit after tax in 2027.

Customer scale has also grown alongside the financial numbers. Quickmart recorded approximately five million customer transactions per month during the first half of 2026 and has around 2.5 million Q-Points loyalty members, with loyalty customers accounting for a substantial share of sales.

Expansion to Continue Without IPO Proceeds

Quickmart intends to keep expanding regardless of the fact that the company itself will not receive cash from the proposed share sale. Its 2026–2030 growth strategy targets between 10 and 15 new stores per year, focusing on urban, peri-urban, regional and coastal markets.

The retailer is targeting more than 100 stores in Kenya over the medium term, supported by internally generated cash flows, stronger digital channels, delivery partnerships, category management and operating efficiencies.

For potential shareholders, another important element is the intended dividend policy. Following the listing, Quickmart’s board plans to target a payout of at least 80% of annual profit after tax, paid semi-annually. The company has stressed that the payout is a target rather than a guarantee and will remain dependent on profitability, capital requirements, growth opportunities and regulatory requirements.

The combination of expanding revenues, national store growth and a proposed high dividend payout creates a clearer picture of what Quickmart intends to offer public investors. However, the final investment proposition will only become measurable once the IPO price, valuation, detailed financial disclosures and risk factors are published.
