Dangote Petroleum Refinery and Petrochemicals FZE is opening one of Africa’s largest-ever public share sales, offering 4.1 billion ordinary shares at ₦525 each. The offer is scheduled to run from September 14 to October 13, 2026, with a minimum subscription of 10 shares, or ₦5,250, making the deal accessible to a broad pool of retail investors.
The IPO could raise about ₦2.15 trillion, or roughly $1.6 billion, and forms part of a wider plan to expand the refinery’s processing capacity, strengthen its balance sheet and broaden ownership of one of Africa’s largest industrial assets.
Key Overview
The refinery currently processes about 700,000 barrels per day and plans to double capacity to 1.4 million barrels per day. The expansion is expected to require about $14.3 billion and is targeted for completion by 2029.
The public offer follows a $2.5 billion private placement completed in July 2026 that was 3.7 times oversubscribed, signalling strong institutional interest before the retail-focused IPO.
Retail Investors Get a Low Entry Point
The offer price has been set at ₦525 per share, while the minimum subscription is just 10 shares. That means eligible investors can participate from ₦5,250, with further subscriptions made in the required multiples.
Official offer information confirms the ₦525 price and 10-share minimum, while subscriptions are expected to be processed through approved receiving agents and electronic channels.
For first-time investors, the relatively low minimum lowers the financial barrier to participation. However, investors still need to complete the necessary identity and investment-account requirements before shares can be allotted.
The offer is not a guaranteed route to profit. Once the shares begin trading on the Nigerian Exchange, their price will be determined by market demand, company performance and broader conditions rather than the fixed IPO price.
IPO Could Raise About ₦2.15 Trillion
At 4.1 billion shares priced at ₦525 each, the public offer could raise approximately ₦2.15 trillion. Regulatory approval for the transaction cleared the way for what is expected to become Africa’s largest-ever share sale.
The refinery has already attracted substantial private capital. In July, it raised about $2.5 billion through a private placement that was 3.7 times oversubscribed, indicating demand from institutional and high-net-worth investors ahead of the public offer.
That earlier transaction represented the refinery’s first external equity raise beyond its existing shareholder base.

Expansion to 1.4 Million Barrels Per Day
A major part of the investment case is the planned expansion of the refinery itself. Current crude-distillation capacity stands at about 700,000 barrels per day, with the company targeting an increase to 1.4 million barrels per day.
The wider expansion programme is estimated at roughly $14.3 billion and is intended to double processing capacity by 2029. At that scale, the facility would rank among the world’s largest refining complexes.
The refinery has already become an important supplier of petrol, diesel, jet fuel and other petroleum products, serving both Nigerian and international markets. Its integrated infrastructure includes storage, pipelines, marine facilities, truck-loading systems and dedicated power generation.
Public Listing Could Reshape Nigeria’s Capital Market
The IPO is also significant for Nigeria’s capital market. A transaction of this size would introduce one of the country’s largest industrial businesses to public investors and could deepen retail participation in equities.
The offer period runs from September 14 to October 13, after which applications will be processed and shares allotted according to the terms of the offer. The final listing date will follow the approved timetable.
Once listed, investors will be able to buy and sell the shares in the secondary market through registered stockbrokers. The market price could trade above or below ₦525, meaning investors need to assess the company’s profitability, expansion costs, debt position and exposure to global refining cycles rather than relying on headline projections.
A Test of Investor Appetite for African Industry
Beyond the amount being raised, the Dangote Refinery IPO is a test of whether a major African industrial project can attract mass participation from domestic and regional investors.
For Dangote, the transaction provides fresh capital and a broader shareholder base as the refinery enters its next stage of growth. For Nigeria, it could increase the depth of the local equity market while giving ordinary investors direct exposure to an asset that has already changed the country’s refined-fuel landscape.
The scale of demand during the offer, the refinery’s execution of its expansion plan and its performance after listing will ultimately determine whether the IPO delivers on the expectations surrounding it.
