French energy group TotalEnergies has completed the $800 million sale of its 10% non-operated interest in Nigeria’s Renaissance joint venture to Vaaris, marking another change in ownership of Niger Delta oil assets. The October 27, 2026, announcement confirms that the company will retain the full economic benefit of three gas licences that are important to Nigeria’s liquefied natural gas industry.

Key Overview

  • TotalEnergies EP Nigeria completed an $800 million transaction with Vaaris involving its former 10% Renaissance joint venture interest.
  • The deal covers 15 mainly oil-producing licences and the transfer of a participating interest in three mainly gas-producing licences.
  • TotalEnergies retains its full economic interest in gas licences OML 23, OML 28 and OML 77.
  • Those three licences currently account for 50% of gas supplied to Nigeria LNG, according to the company.
  • The divestment follows a January 2026 agreement and an earlier, unsuccessful proposed sale to another buyer.

$800 Million Transaction Ends Nine-Month Sale Process

TotalEnergies confirmed in its October 27 completion announcement that its subsidiary, TotalEnergies EP Nigeria, had finalised the transfer to Vaaris. The transaction was agreed in January, although the final announcement did not disclose a breakdown of the $800 million consideration by licence.

Under the original sale agreement, the subsidiary agreed to transfer its 10% participating interest, together with associated rights and obligations, in 15 licences producing mainly oil. The company’s share of production from these licences was approximately 16,000 barrels of oil equivalent per day in 2025.

The Renaissance venture, previously known as the Shell Petroleum Development Company joint venture, has 18 licences in the Niger Delta. A non-operated interest gives an investor a financial stake in the project without responsibility for managing its day-to-day production.

Gas Interests Remain Economically Important

Although the deal includes the transfer of a 10% participating interest in three additional licences—OML 23, OML 28 and OML 77—TotalEnergies retains their full economic benefit under the agreed structure. The distinction is important: the company is disposing of its participating interests while preserving economic exposure to the gas assets.

Together, the three licences currently provide half of Nigeria LNG’s gas supply, making them significant to the export sector. The arrangement enables TotalEnergies to exit the joint venture’s mainly oil-producing licences without giving up the economic benefits tied to these gas resources.

Earlier Divestment Attempt Fell Through

The completed transaction follows an unsuccessful plan to sell the stake to Chappal Energies for $860 million. That earlier agreement, announced in 2024, did not close after concerns over the buyer’s ability to satisfy financial requirements, prompting TotalEnergies to pursue a new buyer in January 2026.

The final $800 million consideration is $60 million below the previously proposed deal value. This comparison describes the announced transaction amounts and does not establish a loss on the investment, since the company’s original cost basis and other transaction adjustments were not disclosed.

Nigeria Remains a Major Production Market

The divestment does not mark TotalEnergies’ withdrawal from Nigeria. The company reported production of 188,000 barrels of oil equivalent per day in the country during 2025 and continues to maintain other operations, including offshore production and fuel distribution.

The sale illustrates the continuing reshaping of Nigeria’s upstream industry as international producers transfer mature onshore positions while maintaining exposure to selected gas and offshore assets. For the Renaissance venture, future output will depend on investment, infrastructure reliability and the performance of its operators rather than the ownership transfer alone.
