South Africa Proposes 100% Offshore Investment Rule

South Africa has proposed a major change to its investment rules that would allow approved financial managers to hold up to 100% of qualifying portfolios in foreign assets while managing those funds from within the country. The draft Synthetic Financial Centre (SFC) framework, published on October 21, 2026, is intended to make South Africa more competitive as a hub for global investment management.

The proposal does not abolish the longstanding 45% foreign-investment limit for affected institutional investors. Instead, it changes what approved managers can do inside specifically authorised, ring-fenced investment mandates. The rules are still proposals, with public comments accepted until November 30, 2026.

Key Overview

  • Proposed offshore exposure: Approved SFC mandates could invest 100% of their underlying portfolios in foreign assets.
  • Existing 45% ceiling: The prudential offshore limit remains applicable to institutions placing money into these mandates.
  • Eligible firms: The proposed framework covers qualifying licensed asset managers and other approved financial institutions, potentially including insurers, banks and private equity managers.
  • Main objective: Attract global portfolio-management business, skilled jobs and financial-service income to South Africa.
  • Market opportunity: About R5 trillion in South African portfolio assets are reportedly held offshore; this is not a guaranteed amount that will return.
  • Next step: Regulators are collecting feedback until November 30, 2026, before considering revisions.

How the 100% Offshore Investment Rule Would Work

Under the proposed regulatory framework, qualifying institutions would be able to manage global investment portfolios in foreign currencies from a South African base. The SFC is a regulatory arrangement, not a new physical financial district.

The critical distinction is between an investor’s permitted offshore allocation and the composition of an approved SFC portfolio. An institution subject to the 45% prudential limit would still have to count its investment in an SFC mandate towards that ceiling. But the SFC manager could invest all the funds received through that qualifying mandate in foreign assets.

For example, an institution with R100 million in assets and a 45% applicable offshore ceiling could not automatically send all R100 million overseas. It could allocate up to R45 million offshore, assuming no other foreign exposure and subject to applicable rules; a qualifying SFC manager could then invest that R45 million entirely in global assets.

The proposed changes to international investment management therefore expand flexibility for fund managers without giving all South African investors unrestricted access to foreign markets.

Why South Africa Wants to Keep Global Fund Management at Home

South African institutions already invest substantial amounts outside the country. However, overseas financial centres often administer or manage these portfolios, taking with them management fees, specialised employment and related business activity.

The SFC proposal aims to make it possible for more of that work to be performed locally even when the underlying shares, bonds or other assets remain overseas. Estimates cited in reporting on the reform put South African portfolio assets held offshore at about R5 trillion, equivalent to roughly US$301 billion at the exchange rate cited.

The Johannesburg Stock Exchange has also suggested that wider financial-market reforms could generate up to R10 trillion in investment activity over time. That is a potential opportunity, not confirmed new capital inflows or an official forecast of immediate investment.

What the Framework Could Mean for Investors and Financial Firms

Approved managers could build internationally diversified funds from South Africa, potentially competing more directly for mandates currently handled in overseas markets. Banks, insurers and specialist investment firms may also benefit from opportunities to provide custody, administration, trading, compliance and advisory services.

For investors, a broader range of locally managed international products could eventually improve choice and access to professional expertise. However, overseas investments still carry market, currency and liquidity risks, and managers will remain subject to relevant licensing and regulatory requirements.

South Africa’s 2026 budget proposals had already identified foreign-portfolio management and foreign-currency financial instruments as priorities for making the country a stronger investment gateway to Africa.

Consultation Deadline and What Comes Next

The first phase focuses on managing qualifying foreign portfolios and related foreign-currency investments. Later reforms could consider tax alignment and enabling foreign-currency-denominated securities to be listed or traded in South Africa, although those steps are not yet approved.

According to the official consultation announcement, submissions close on November 30, 2026. Regulators will then review responses and may revise the framework before implementation.

The outcome could reshape where international portfolios are managed, but the practical effects will depend on final rules, institutional participation and whether South Africa can attract significant global fund-management business.
