US apartment owner UDR, Inc. (NYSE: UDR) and investment manager Apollo (NYSE: APO) have announced plans for a $2 billion joint venture covering 19 apartment communities and 7,059 homes. Under the October 21 partnership announcement, Apollo-managed funds and affiliates would invest $1.34 billion for an approximate two-thirds stake, while UDR would retain the remaining interest and manage the properties.

The proposed arrangement would give UDR substantial equity capital to pursue new investments and reduce debt without relinquishing day-to-day operations. Closing is expected on October 29, 2026, subject to documentation and customary conditions.

Key Overview

  • Portfolio value: Approximately $2 billion across 19 apartment communities and 7,059 homes.
  • Apollo investment: $1.34 billion in equity for an approximately two-thirds ownership interest.
  • UDR’s role: Retains a one-third stake, operates the properties, earns management fees and consolidates the venture.
  • Property valuation: An estimated capitalization rate of 6.0%, with reported average revenue of $2,058 per home.
  • Buyback option: UDR may repurchase Apollo’s stake during a limited period beginning five years after closing, at an expected fixed return of 7.0%–7.5% to Apollo.
  • Expected closing: October 29, 2026, provided the remaining conditions are met.

How the $2 Billion Apartment Venture Will Work

The joint venture brings together UDR’s property management platform and Apollo’s investment capital. Apollo would hold roughly two-thirds of the business, while UDR would keep one-third and continue operating the apartment communities for an asset management fee.

UDR also plans to consolidate the venture in its financial reporting. That means the partnership should not be interpreted as an outright sale that removes the properties from its consolidated accounts. The agreed ownership structure instead allows UDR to retain an economic interest and an ongoing operating role.

The properties have an average reported age of 39 years and imply a capitalization rate of about 6%. A capitalization rate measures property-level operating income relative to asset value; it is not a guaranteed annual return to either partner.

UDR Targets Debt Reduction and Higher-Growth Assets

UDR intends to use the capital released through the transaction for investment opportunities, general corporate purposes and debt reduction. The company expects the partnership to support earnings, although its projected benefits remain subject to execution and market conditions.

The strategy could improve funding flexibility by bringing in a long-term equity partner rather than relying solely on asset disposals or additional conventional borrowing. Importantly, Apollo’s $1.34 billion commitment represents its investment in the joint venture, not an additional $2 billion cash payment to UDR.

As of September 30, UDR reported ownership interests in 60,617 apartment homes, including 634 homes under development. The proposed 7,059-home venture therefore covers a meaningful part of its wider property footprint.

Repurchase Option Gives UDR Future Flexibility

A notable feature is UDR’s option to buy back Apollo’s ownership interest for a limited period beginning on the fifth anniversary of closing. The announced repurchase terms contemplate a fixed return of approximately 7.0%–7.5% for Apollo.

This creates a potential route for UDR to regain full ownership later, but exercising the option would require capital and depend on the economics at that time. The exact duration of the exercise window was not specified in the announcement.

What Happens Next for Investors?

The parties expect to complete the deal on October 29, 2026, subject to final documents and closing conditions. Citigroup and Wells Fargo advised UDR, while Scotiabank advised Apollo.

Investors will be watching whether the venture closes as planned, how UDR allocates the proceeds, and whether the expected benefits are reflected in future earnings and debt metrics. The central trade-off is clear: UDR would gain financial flexibility at closing while sharing a substantial portion of the portfolio’s future economics with Apollo.
