Nigeria’s Dangote Petroleum Refinery has secured a $1 billion underwriting programme ahead of its planned initial public offering, strengthening financial backing for a transaction that could become the largest IPO in African market history.

The programme, structured by Marob Strategies and Consulting DIFC Ltd and Lilium Capital Group, comprises a completed and funded $600 million private placement and a further $400 million underwriting commitment tied to the planned IPO. Dangote has separately submitted an application for a potential $5 billion offering to Nigerian regulators, although the final size has not yet been determined.

$1 Billion Programme Strengthens IPO Preparations

The financing package represents another significant step toward bringing the privately controlled refinery to public markets. Under the arrangement, the first $600 million has already been funded through a private placement backed by Pan-African Refinery Investment SPV, a subsidiary of Lilium Capital Group.

An additional $400 million underwriting commitment is expected to become effective when the IPO launches, subject to regulatory approval and prevailing market conditions.

The programme provides greater certainty around part of the capital expected to support the listing while also signalling institutional interest in one of Africa’s most important industrial assets.

The refinery has already filed documentation relating to a possible $5 billion IPO with Nigeria’s Securities and Exchange Commission. However, the eventual transaction size will depend on regulatory approvals, valuation decisions and market conditions at the time of launch.

If completed near the targeted scale, the transaction would rank among the largest capital-market deals ever undertaken by an African company.

Dangote Targets Broader Nigerian Ownership

The planned listing forms part of a broader effort to widen ownership of the refinery beyond its current private shareholder base. Management has indicated that the initial offering will focus primarily on Nigerian investors rather than immediately pursuing an overseas listing.

Chief Executive David Bird said the company is pursuing a retail-focused Nigerian IPO that could take place by October 2026, allowing domestic investors to participate directly in the refinery’s future performance.

An international listing is not expected immediately. Management has indicated that the company would first establish a performance record as a listed Nigerian business before considering other markets.

The offering comes after substantial institutional interest in the refinery. A separate $2.5 billion private placement completed in July attracted significant demand and valued the business at about $40 billion.

Refinery Expansion Adds to Capital Requirements

Part of the capital being assembled around the IPO is expected to help fund a major expansion programme. Dangote plans to increase the refinery’s processing capacity from its current scale toward approximately 1.4 million barrels per day, which would place the facility among the world’s largest refining complexes.

The refinery, located near Lagos, has become increasingly important to Nigeria’s effort to reduce dependence on imported petroleum products while developing the country into a major exporter of refined fuels.

However, its ambitions require substantial capital for additional refining units, infrastructure and supporting operations. Access to public equity markets could therefore provide the company with a larger and more diversified pool of long-term financing.

Global Fuel Disruption Boosts Dangote’s Position

The IPO preparations are taking place during unusually favourable conditions for some refiners. Disruptions linked to the Iran conflict and reduced refined-product availability from parts of the Middle East have tightened global fuel markets and increased demand for alternative suppliers.

Dangote has emerged as an important beneficiary. Its refinery has developed a substantial surplus of aviation fuel, allowing it to expand jet fuel exports beyond Nigeria and across international markets.

European buyers have increasingly sourced aviation fuel from producers outside traditional Middle Eastern supply routes. During June and July, Dangote became a particularly important source of jet fuel for Europe as buyers adjusted purchasing patterns following disruptions in global supply.

The refinery has also benefited from stronger refining margins as shortages of diesel, jet fuel and other products have persisted even as crude oil prices eased from earlier wartime peaks.

These market conditions could strengthen the investment case ahead of the proposed listing. However, the final IPO valuation and deal size will ultimately depend on regulatory approval, operating performance and investor appetite when the offering formally reaches the market.
