KKR has agreed to acquire Gen II Fund Services for a total enterprise value of $5.1 billion, marking a major investment in the infrastructure supporting the rapidly expanding private-capital industry.

The investment firm is buying Gen II from Hg, General Atlantic and other minority shareholders through its Core Private Equity strategy. The transaction will give KKR control of a fund administrator serving more than 275 investment managers representing over $2 trillion in assets while positioning Gen II for further international, technological and product expansion.

Key Overview

  • KKR will acquire Gen II Fund Services at a $5.1 billion enterprise value.
  • Gen II administers funds for more than 275 investment managers representing over $2 trillion in assets.
  • Hg and General Atlantic first invested in the company in 2020.
  • Gen II has quadrupled revenue and EBITDA since that investment through organic expansion and four strategic acquisitions.
  • KKR plans additional investment in proprietary technology and AI-enabled solutions.
  • Gen II’s existing management team, led by CEO Steven Millner, will continue running the business.
  • The transaction is expected to close in 2027, subject to regulatory approvals and customary closing conditions.

KKR Makes a $5.1 Billion Bet on Fund Administration

KKR’s agreement to acquire Gen II gives the investment group a substantial position in a business that provides the operational infrastructure behind private-market funds.

Founded in 2009 by Steven Millner, Steven Alecia and Norman Leben, Gen II provides administration services covering areas including fund accounting, investor reporting, tax, regulatory compliance, treasury operations and technology solutions.

The company currently serves more than 275 investment managers representing over $2 trillion in assets, illustrating the scale it has achieved as private equity, private credit, infrastructure, real estate and other alternative investment strategies have expanded.

Unlike an acquisition of an investment manager itself, the deal gives KKR exposure to a company providing recurring operational services to firms across private markets. As private funds become larger, operate across more jurisdictions and face increasingly complex reporting requirements, administrators play an important role in managing the infrastructure surrounding those investment vehicles.

Gen II Has Expanded Rapidly Since 2020

The transaction also represents an exit for Hg and General Atlantic, which co-led an investment in Gen II in 2020.

At the time of that investment, Gen II administered more than $375 billion of private capital across over 500 funds. Its current scale of more than $2 trillion highlights the significant expansion achieved over the following six years.

Since 2020, Gen II has broadened its presence across the US and Europe, expanded its range of services and completed four strategic acquisitions. According to the transaction announcement, the company has also quadrupled both revenue and EBITDA through a combination of organic growth and acquisitions.

Its expansion has also included increased investment in digital infrastructure. Previous shareholders supported the development of the GenVū client portal and greater use of automation and artificial intelligence in areas such as client onboarding and bank reconciliations.

KKR Targets Technology and International Expansion

KKR intends to use its ownership to accelerate Gen II’s next phase of growth rather than fundamentally change the company’s leadership structure.

CEO Steven Millner and the existing management team will remain in place, while KKR plans to support further expansion in the US and international markets. The investment firm also intends to broaden Gen II’s capabilities across additional asset classes and services while increasing investment in proprietary technology and AI-enabled solutions.

Another component of the strategy will be employee ownership. KKR plans to introduce a broad-based ownership programme that will give all Gen II employees an opportunity to participate financially in the company’s future growth.

The approach follows KKR’s use of employee ownership programmes across a range of portfolio companies, linking employees more directly to value creation during the investment period.

Private-Market Growth Drives Demand for Fund Infrastructure

The acquisition comes as the operational requirements surrounding private-market investment vehicles continue to increase.

Fund managers are dealing with larger investor bases, cross-border structures, more complex reporting obligations and growing expectations for faster access to portfolio and fund information. This has increased demand for specialised administrators capable of combining financial expertise with scalable technology.

Gen II’s position as a large independent administrator gives KKR exposure to that structural trend without relying directly on the investment performance of one private-equity or credit fund.

The company’s combination of administration, compliance, tax, treasury and technology services also creates opportunities for it to deepen relationships with existing customers by handling a wider range of operational functions.

For Hg and General Atlantic, the sale follows six years in which Gen II evolved from a predominantly founder-led operation into a much larger international platform. For KKR, the $5.1 billion acquisition represents a significant commitment to the infrastructure supporting private capital as the industry becomes more institutionalised and technologically demanding.

The transaction remains subject to customary closing conditions and regulatory approvals and is expected to be completed in 2027.
